In the past few months, we listened to you. We hustled to build out our Sprout and Folium feature sets to handle your use cases and to expand our offerings to a wider user base.

New ESOP features:
We have added some key new features designed to enhance our ESOP module and solutions.
These features include:
Customizable settings
You can now change elements of the Sprout experience to suit your company’s specific requirements. This feature enables you to make the Sprout platform suit your organization’s needs.
These customizations include:
Enhanced Cap Table and Admin roles
We’ve added new roles including different kinds of administrators, giving you options to define different roles and their respective accessibility.
New roles available include:
- ESOP Admin: this role is designed to only manage the share options. This role can create grant drafts, download ESOP reports and only view ESOP data (nothing else). They cannot approve grants or other related options.
- Share Class Admin: this role can similarly draft shares, access data, download but they cannot approve the draft of shares, nor view sensitive compensation data such as ESOP grants.
New customizations include:
- Board email control – not done managing your board and don’t want to send invites yet? This on / off feature enables you to first create or manage the board and change members before any invitations go out to them.
- Date formatting and time zone settings so you can change date format (American vs Commonwealth) and to do things such as time stamp documents and mark data room access
- Decimal controls – partial shares and options? Yes we can! We heard from you and present shares and options by decimals. You can customize this for pricing and amount of shares.
Customized Voting Power
Did you know that you can set and sort your cap table by voting power? This feature gives you an additional option to create non-voting or super voting shares and see them displayed on a cap table. This feature will also be coming to token management so keep watching this space.
Auto e-Sign and Document Processing
Sprout offers an automated e-signature and document processing feature for the bulk creation and documentation of option grants and token vesting using highly customizable templates powered by DocuSign® technology. This entire process can take less than 5 minutes to execute, saving an average of a whopping 30 minutes of processing. Ask our team about this feature and potential customization options today.

We recently added and made some powerful enhancements to enable founders and teams to better manage and understand the upcoming fundraise.
These include:
Customized investment rounds
We heard from you and did something about it. Our features, not available on other industry tools, ensures your fundraising round numbers (like post-money valuations) actually match your valuation.
Do you have an investor that entered late into your last round and wanted the last round terms, after you have started fundraising a new round? You can do that now by customizing the grouping of investments. Have you created sub-rounds, such for a Seed Plus and a Pre-Series A? We have newly added the option to have sub-rounds where you can nominate shares you want to be included in any given round or sub-round. Finally, you can also customize the shares issued and fully diluted shares – ask us how or schedule a demo with your success manager today.
Custom round creation
We have newly added the option to have sub-rounds. In the event that you have an investor that enters into your round late, after you have started a new round of fundraising but they wish the last round of deal and terms, you can create a sub-round. Additionally, you can also customize the shares issued and fully diluted shares.
You can nominate shares you want to be included in any given round or sub-round (for example when executing a Series Seed Part A followed by a Series Seed Part B). This feature, not available on other industry tools – ensures your fundraising round numbers (like post-money valuations) match your valuation.
Scenario modeling
Play investor without building a complicated spreadsheet. We now offer multiple, side-by-side scenario modeling so you can not only play out a scenario but compare and contrast different options. You can create up to five different scenarios and then compare three selected options against your current cap table. The comparison table shows you shares, ownership and valuation. You can save these scenarios and run more funding and exit scenarios off them.
We will be introducing new graphing features and a new export option in an upcoming release later this year. These graphical features will visually enhance your modeling results. You will be able to better show these outcomes visually in reports and presentations, giving you the ability to see and make better decisions.
Data Rooms
Sprout’s virtual data room module now captures all documents for certificates and plans automatically. So once a document is signed using the Auto e-Sign and Document Processing feature, the document is automatically captured and stored into the relevant folder for easy organization, management, and later retrieval. This makes it easier for admins, founders and users to keep these documents organized without manual intervention.
We offer bulk upload of documents to streamline document management and make it just that bit easier for you. No longer do administrators have to upload documents by each individual user. Bulk uploads make it easier, faster and less time consuming for you to manage multiple
documents.
Additionally there are new drag and drop tools and multi-selection upload functionality. Drag and drop makes it fundamentally faster and easier for you to manage your data rooms and document uploading.
Last but definitely not least, we have also added access tracking – the ability to invite investors to your data room and have visibility of their behavior. You can see when your investors are viewing documents in real-time and therefore the ability to respond to any requirements, issues, concerns or questions they may have. Our co-founders recently used the data room for their own purposes and gleaned some interesting insights.
Fair market value (409A)
This new feature allows you to manage and track your current valuation and add changes to your per share value. You can specify a value and the reasoning for it e.g., the preferred round, if it was board approved or if you recently completed a fair market value or 409A appraisal report. You can see your holdings based on either the last round or a recent fair market value. This gives you the flexibility to choose the appropriate valuation for stakeholders.
Folium is our token management solution that we announced in March 2022. It is now upgraded as a Preview Release. Sprout is the first company to combine equity and token management on one platform. Folium is now fully available to customers for demo and sign-ups with special onboarding services and trial offers.
Labeling Wallets
You can use wallet labels to tag and identify wallet addresses. By labeling wallets, you can track and gain insights of all related transactions and ownership information.
Labeling Transactions
Add labels to any transaction – from who to who, the target, you can add notes or any other information that helps you manage your transactions.
Tracking Token Ownership
We have added the ability to issue and track off-chain assets such as unlocked, but unpaid token vesting, signed token warrants / SAFTs. Together with the on-chain labels and tracking, you will have a full picture of your tokens on a fully diluted basis.
Token Ownership Summaries
You can think of this as a “crypto cap table”. This feature groups related parties and shows outstanding and diluted tokens. By mapping issue tokens to transactions, your ownership ecosystem can be broken out into groups such as founders, investors, employees or treasury alongside those which are not labelled. You can see which constituencies have what levels of ownership.
Reporting
We have added token reports. Included among these reports are two types of summaries of all wallets. These reports show you all wallets, how much is owned, the stakeholders and the ownership by relationship.
